The Acquisition and Two Divestitures

The Eaton acquisition, White Drive sale and later Zhenjiang transaction changed different parts of the hydraulic industry.

The question

Could American equipment manufacturers still obtain competitively priced, dependable orbital motors and hydraulic steering units after two major suppliers combined? That is the practical issue behind this case. It reaches the manufacturer designing a machine, the distributor stocking components, and the operator waiting for the machine to return to work.

DOJ challenged the transaction in 2021 and agreed to a divestiture intended to preserve competition. The settlement resolved allegations without a trial or admission of liability. DOJ transaction announcement

The judgment’s duration

October 26, 2026 is the earliest early-termination date. Under Section XVI, DOJ may give notice after five years if the divestiture is complete and continuation is no longer necessary or in the public interest. The ordinary expiration is October 26, 2031, unless extended. Final Judgment, Section XVI

The DOJ public index reviewed for this analysis lists the 2021 judgment and appointment order. This review has not established a later termination, modification, or trustee-discharge order; it does not substitute for a complete current court docket. DOJ case index

Eaton announced its closing on August 2, 2021. Interpump announced the White closing on October 1. These two transactions had different scopes and currencies; the White sale price is not a valuation of the full Eaton Hydraulics business. Eaton sale closing · Interpump acquisition closing

Our approach

Our analysis tests the remedy against its industrial purpose: effective supply, support, and competition. A signed sale, a new product label, an investment announcement, and reliable customer supply each answer a different question. They need to be examined together.

I joined White Drive in November 2023, after the transactions described here. That experience informs the questions. This dossier presents the public record and our analysis; specific customer and operating claims require their own evidence.

The third transaction: Zhenjiang, 2022

Danfoss’s annual report records a separate sale to Impro on October 31, 2022, fulfilling a condition of Chinese approval for the Eaton acquisition. Impro’s announcement describes the operating business and its know-how and patent rights. Read the asset and patent-rights comparison →

Follow one product through the three transactions

The most useful unit for further reporting is a defined product family. Its path can identify which business owned the relevant assets before the acquisition, what entered the U.S. divestiture, which rights were licensed and whether a separate China transaction involved related capability. A shared industry label is too broad to establish that those paths were identical.

This is also how the case can reach the customer without relying on a general verdict about the merger. Follow the right to supply the accepted product, the manufacturing route behind it and the support available after each change. Where the public record ends, identify the missing link. That leaves room for a documented result instead of assuming either harm or success from the transaction structure alone.
